Overview:

This position involves the generation and processing of contract documentation for the GATX Rail commercial organization, SAP entries for invoice generation from executed legal documents and maintaining the customer database program. Responsibilities include drafting, proofreading and editing legal documents; entering executed terms and conditions in SAP. Additionally, the position is responsible for drafting, review and direct legal negotiation of GATX commercial master contracts, riders, amendments and purchase/sale agreements for GATX Rail US, GATX Rail Canada, GATX de Mexico and GATX Rail Locomotive Group.

 

The incumbent will also work closely with the Senior Director and the Supervisor of Contract Administration to assist and ensure the delivery of accurate and timely documentation for the successful execution of all commercial transactions across North America while ensuring process conformity with Sarbanes Oxley and GATX internal/external auditors. Interact regularly with Sales, Account Solutions, Accounts Receivable, Legal, Investment Risk Management, Business Analysts, Insurance Department, IT, Fleet Portfolio, Fleet Execution, Billing Group, Internal and External Audit and Scrap Departments.

Responsibilities:

  • Prepare various types of legal contracts for railcar and locomotive leasing including, but not limited to, net/full lease conversions, release and reassignments, lease termination agreements and lease transfers related to mergers and acquisitions.
  • Proofread documents returned from customers to address any changes or modifications requiring further commercial/legal internal review. Proofread/review non-standard documents prepared by the Contract Team to ensure relevant contractual clauses are present.
  • Work with the Contract Team to ensure month-end completion of all operations related to billing of active lease contracts in SAP, Salesforce and ECM (including renewals, assignments, amendments and transfers).
  • Ensure appropriate internal approvals are received from Investment Risk Management, ACA and GIC as required in accordance with SOX controls.
  • Maintain contract files in accordance with Records Retention policies, and provide reports and documents to internal/external auditors as well as explanations of process and initial order request.

Qualifications:

Education and/or Experience Required

  • Bachelors Degree
  • Paralegal certification with extensive contract experience preferred
  • Strong PC skills with level of knowledge of Microsoft Applications (Excel, Word, PowerPoint and One Note), ECM (open text), Emptoris (or other legal software)
  • Experience with SAP, SalesForce and DocuSign preferred
  • Basic knowledge of accounting and finance terminology
  • Basic knowledge of railroad and locomotive terminology
